3.The Services
McKenzie Labs is a holding company that builds and scales independent companies across robotics, healthcare, artificial intelligence, data, security, blockchain, and military science. The Services comprise this website and, where separately made available, the products and platforms of the Operating Companies and the canEYE AI control layer. Certain Operating Companies or products may be governed by supplemental or order-specific terms; where a conflict exists, the supplemental terms control for that product to the extent of the conflict.
The Services may describe capabilities that are conceptual, in development, or offered only to qualified customers. Nothing on the Services constitutes an offer, warranty, or commitment to deliver any particular feature, and we may modify, suspend, or discontinue any part of the Services at any time.
4.Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are not directed to children. Certain Services — including those offered by McKenzie Military Science or involving regulated, export-controlled, or security-sensitive capabilities — may be available only to vetted or authorized customers and may be subject to additional eligibility, compliance, and export-control screening. You represent that your use is lawful in your jurisdiction.
5.Accounts & registration
Some Services require an Account. You agree to provide accurate information, to keep it current, and to safeguard your credentials. You are responsible for all activity under your Account. Notify us promptly at security@mckenzielabs.com of any unauthorized use or suspected breach. We may suspend or terminate Accounts that we reasonably believe are compromised or used in violation of these Terms.
6.License & acceptable use
Subject to these Terms, McKenzie Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal, lawful purposes. You agree not to:
- use the Services in violation of any applicable law, regulation, export control, or third party’s rights;
- copy, modify, reverse engineer, decompile, or create derivative works of the Services except as permitted by law;
- access the Services to build a competing product, or scrape, harvest, or index them without authorization;
- interfere with, probe, or disrupt the integrity or performance of the Services, or circumvent security or access controls;
- upload malicious code, infringing content, or data you lack the right to submit;
- use the Services to automate activity that violates a third party’s terms, or to carry out unlawful, deceptive, harmful, or high-risk automated actions;
- misrepresent your identity or affiliation, or use the Services for unauthorized surveillance.
We may investigate and take appropriate action, including removing content, suspending access, or reporting activity to authorities, for any suspected violation.
7.canEYE — additional terms
canEYE is an AI control layer. It lets you set deterministic permission rules — typically Automatic, Ask me, or Never — that govern what a Connected Assistant may do on your behalf, and it holds actions for your approval according to those rules. Your use of canEYE is subject to the following, in addition to the rest of these Terms:
7.1 You control and are responsible for your rules
You are solely responsible for configuring canEYE rules appropriately for your circumstances and for reviewing any action queued for approval before you approve it. canEYE enforces the rules you set; it does not independently judge whether a permitted action is wise, correct, or in your interest.
7.2 Protected actions
Certain categories of high-consequence actions — such as signing agreements or moving money — are treated as always protected and are withheld from automatic execution by default. You acknowledge that these safeguards reduce, but cannot wholly eliminate, the risks of automated action, and that you should maintain independent review of consequential decisions.
7.3 No guarantee of outcomes
Connected Assistants are third-party systems that can behave unpredictably. canEYE is designed to constrain their actions, but we do not warrant that canEYE will prevent every undesired, erroneous, or unauthorized action, or that a Connected Assistant will always honor the control layer. You remain responsible for the acts and outputs of the Connected Assistants you authorize.
7.4 Data minimization
canEYE is designed to operate on permissions and action metadata and does not require access to the content of the underlying data, documents, or communications it governs, except as needed to enforce your rules and as described in the Privacy Policy.
7.5 Acceptable use of canEYE
You must not use canEYE to automate activity that is unlawful, that circumvents a third party’s terms or technical protections, or that would cause harm. You are responsible for ensuring that your authorized automations comply with the terms of each Connected Assistant and with applicable law.
8.Third-party services & AI assistants
The Services may interoperate with third-party products, including AI assistants that you choose to connect. Your use of any third-party service is governed by that provider’s own terms and privacy practices. McKenzie Labs does not control and is not responsible for third-party services, and inclusion or interoperability does not imply endorsement. We may disable interoperability with a third-party service at any time.
9.Customer data & privacy
You retain ownership of your Customer Data. You grant McKenzie Labs a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide, secure, and improve the Services and as permitted by the Privacy Policy. You are responsible for the accuracy and legality of your Customer Data and for having the rights necessary to submit it. Our collection and use of personal information is described in the Privacy Policy.
10.Intellectual property
The Services, including all software, text, designs, logos, and the McKenzie Labs and canEYE names and marks, are owned by McKenzie Labs or its licensors and are protected by intellectual-property laws. Except for the limited license in Section 6, no rights are granted to you. Marks shown on the Services are illustrative and may not be used without permission. If you submit feedback, you grant us a perpetual, royalty-free license to use it without restriction or obligation.
11.Fees & payment
Some Services may be offered for a fee under a separate order or subscription. Where fees apply, you agree to the prices, billing cycle, and payment terms presented at the time of purchase [insert fee, renewal, and refund terms]. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and subject to change on notice. Failure to pay may result in suspension or termination.
12.Disclaimers; no warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. McKenzie Labs does not warrant that the Services will be uninterrupted, secure, error-free, or that defects will be corrected. No advice or information obtained from the Services creates any warranty not expressly stated here. Some jurisdictions do not allow certain disclaimers, so some may not apply to you.
13.Limitation of liability
To the maximum extent permitted by law, McKenzie Labs and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business interruption, arising out of or related to the Services or these Terms, even if advised of the possibility. McKenzie Labs’s total aggregate liability for all claims relating to the Services will not exceed the greater of the amounts you paid to McKenzie Labs for the Services in the twelve months before the claim or [insert cap, e.g. US$100]. These limitations are a fundamental basis of the bargain between you and McKenzie Labs.
14.Indemnification
You agree to defend, indemnify, and hold harmless McKenzie Labs and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your Customer Data, your canEYE configurations and authorized automations, or your violation of these Terms or applicable law.
15.Term & termination
These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or to protect the Services or other users. Upon termination, the licenses granted to you end; provisions that by their nature should survive — including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution — survive.
16.Governing law & disputes
These Terms are governed by the laws of [insert governing state/country], without regard to conflict -of-law rules. The parties will attempt in good faith to resolve any dispute informally. Any dispute not resolved will be subject to [insert dispute-resolution mechanism — e.g. binding arbitration and the exclusive jurisdiction of the courts of a named venue, and any class-action waiver]. Nothing limits either party’s right to seek injunctive relief for intellectual-property or confidentiality matters.
17.Changes
We may update these Terms from time to time. When we do, we will revise the “Last updated” date and, for material changes, provide additional notice where required. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
18.General
These Terms, together with the Privacy Policy and any supplemental terms, are the entire agreement between you and McKenzie Labs regarding the Services. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. Notices to you may be given through the Services or to the contact associated with your Account.
